    本論文では、譲渡制限株式の売買価格の決定における「売買価格」（会社法144条2項）をどのように解するべきであるのかについて検討した。その中では、まずは従来の裁判例が交換価値説を採用しているのに対して従来の学説ではプロ・ラタ価値説が主張されているということを確認したうえで、次のように、従来の学説が主張するプロ・ラタ価値説の根拠が説得的ではないということを明らかにするとともに、株式譲渡制限制度の趣旨や手続、支配株主が置かれた状況等を具体的に踏まえると交換価値説を採用するべきであるということを示した。
    まず、プロ・ラタ価値説は、交換価値説を採用した場合には支配株主が少数株主を抑圧して保有株式を売却するように仕向けるインセンティブが生じると主張している。しかしながら、交換価値を採用したことによって支配株主が少数株主を抑圧して保有株式を売却するように仕向けるインセンティブが生じ、または強化されるという想定は現実的ではない。
    そして、譲渡制限株式の売買価格の決定における「売買価格」は、次の理由から、交換価値を意味すると解するべきである。まず、株式譲渡制限制度の下では、譲渡制限株式の株主であっても、まずは通常の取引における株式の譲渡によって投下資本を回収することが予定されている。そして、会社または指定買取人による買取りは、会社がそのような株式の譲渡を承認しなかった場合に当該譲渡に代わる投下資本回収の手段を保障するものであると位置づけられる。そのような投下資本回収の手段を保障するためには、会社または指定買取人による買取りにおいて、通常の取引における株式の譲渡によって回収することができたであろう株式の価値を保障すれば足りる。
    また、譲渡制限株式の譲渡承認に関する関係者のインセンティブに与える影響という観点からも、交換価値説を採用した方が望ましい。すなわち、まず、プロ・ラタ価値説を採用した場合には、少数株主は会社に譲渡制限株式の譲渡承認をさせないようにするインセンティブを有することになるが、それは望ましいものであると評価することができない。また、プロ・ラタ価値説を採用した場合には、交換価値説を採用した場合よりも、会社（支配株主）が譲渡制限株式の譲渡を承認せざるを得なくなる可能性が高くなるのに対して、交換価値説を採用した場合には、プロ・ラタ価値説を採用した場合よりもそのような可能性が低くなる。したがって、株主の投下資本回収の手段を保障したうえで、会社の閉鎖性を維持するという株式譲渡制限制度の趣旨をよりよく達成するためには、プロ・ラタ価値説よりも交換価値説を採用する方が望ましい。

    　株主が死亡した場合、その株式は相続人によって承継される。そして、複数の相続人がいる場合には、相続された株式は、遺産分割までの間、その共同相続人の準共有に属することになり、その共同相続人間で遺産分割について争いが生じているときには、遺産分割までに長い期間を要することがある。このような場合には、相続された株式が長期間にわたって共同相続人間で準共有されることになり、その株式が発行済株式の大きな割合を占めているときには、その株式についての権利がどのように行使されるのかが、会社に対して大きな影響を与えることになる。
    　このような問題意識の下で、株式の準共有者が準共有株式についての権利をどのように行使できるのかについて、従来から議論がなされてきたところ、近時、複数の詳細な研究により議論の深化が見られるとともに、令和3年民法改正が株式の準共有に影響を与えることも指摘されている。そこで、本論文では、準共有株式についての権利の行使に関する規律の基本構造を確認したうえで、その規律に関する諸論点についての従来の考え方と近時の会社法理論の進展を考察した。

    本論文では、令和3年民法改正が株式の準共有にどのような影響を与えるのかについて検討を行った。この検討の背景には、令和3年民法改正によって共有に関する民法の規定が改正され、その改正内容が株式の準共有関係の規律のあり方に影響を及ぼし得ることとなったという事情がある。そこで、具体的には、会社法106条にいう権利行使者と改正後民法252条の2にいう共有物の管理者の関係、権利行使者の指定解除が権利行使者に改正後民法252条3項にいう「特別の影響」を及ぼすべき場合の対応、権利行使者が準共有者の指図に反して権利を行使した場合の対応と改正後民法252条の2第4項との関係、自己の持分を超える使用の対価を償還する義務（改正後民法249条2項）が従来の考え方や実務に与える影響等について検討を行った。
    特に、最後に挙げた改正後民法249条2項の新設は、次のように、従来の考え方や実務に対して一定の影響を与える可能性があり、そのことを踏まえて実務上どのような対応が可能であるかについて検討してその対応策を示した。すなわち、令和3年民法改正によって自己の持分を超える使用の対価を償還する義務が規定されたところ（改正後民法249条2項）、株式の準共有者の多数派が自己の持分を超えて準共有株式の全部についての議決権の行使内容を決定し、その決定に基づいて議決権が行使された場合（権利行使者を通じてそのような権利行使を行う場合を含む）には、多数派の準共有者は、同項に基づいて自己の持分を超える議決権行使の対価を償還する義務を負うことになる。もっとも、実際にこの対価の額を算定することは容易ではない。そこで、そのことを前提として対価償還義務を発生させないようにするための実務上の対応としては、準共有株式についての議決権の行使に係る意思決定において、準共有株式についての議決権を各準共有者の持分の価格に従い不統一的に行使することを、改正後民法252条1項に従って準共有者の多数決によって決定するという対応が適切であると考えられる。

    In a family business, the managing director of a family-controlled company often holds most of the company’s shares. When he/she passes away, his/her shares are inherited. When there are two or more heirs/heiresses and they cannot agree on the division of inherited property, under Japanese law, they will co-own and jointly manage the shares until the division of inherited property is completed (Article 898 of the Japanese Civil Code). However, in certain cases, the heirs/heiresses cannot agree on how to exercise shareholders’ rights. Such a situation could negatively affect the activities of the company and interests of various stakeholders. The aim of this paper is to contribute to the resolution of this problem by examining the following two issues. The first issue concerns the general legal framework regulating co-owned stocks: What is/are the fundamental, underlying purpose(s) of Article 106 of the Japanese Companies Act (Issue 1)? The second issue specifically concerns business succession: What should be the most appropriate default rule regulating the exercise of voting rights by co-owners (Issue 2)?

    本論文では、会社法が規律している会社のうち同族会社がどのようなものであるのかを明らかにすることによって会社法学への示唆を得ることを目指した。具体的には、経済学・経営学の分野において2000年前後から活発になされているファミリービジネスに関する研究の成果を参照することによって、同族会社の特徴を従来よりも正確に把握して、そこから導出される会社法学への示唆と今後取り組むべき課題を提示した。特に、本論文の中では、同族会社の特徴として次のようなことを明らかにした。
    まず、同族会社においては、支配株主が存在する会社の場合と同様に、次のようなことが指摘されている。すなわち、一方で、株主と経営者との間のエージェンシー問題が軽減される可能性が指摘されており、それと整合的な実証研究も存在する。その理由としては、同族会社においては、創業者一族が多くの株式を有していること、また、創業者一族が経営者の地位にも就いていることが挙げられる。他方で、支配株主である創業者一族とその他の株主との間のエージェンシー問題が生じる可能性も指摘されており、そのような可能性を示唆する実証研究も存在する。
    また、このような創業者一族の支配株主としての特徴だけではなく、同族会社を支配株主が存在する他の会社と区別して、同族会社自体の特徴に着目した研究も存在する。そのような研究では、創業者一族と同族会社の感情的な結びつきをどのように扱うのかが問題とされていると理解することができる。まず、一方で、そのような感情的な結びつきがエージェンシー問題を軽減して企業のパフォーマンスに正の影響を与えるという指摘があり、他方で、そのような結びつきが縁故主義や利他性として表れて企業のパフォーマンスに負の影響を与えるという指摘がある。また、上場していない同族企業においては、支配株主とその他の株主との間のエージェンシー問題が、創業者一族の中でも、つまり、経営に関与している家族と経営に関与していない家族との間でも生じ得ること、そして、そのようなエージェンシー問題は創業者一族の世代が進むにつれて生じやすくなる傾向にあることが指摘されている。さらに、2010年前後から、創業者一族と同族企業の感情的な結びつきを正面から捉えて、同族企業の特徴がsocioemotional wealthを重視することにあると考えて、このような観点から同族会社の特徴を明らかにしようとする考え方が有力に主張されているが、このような研究はまだ発展途上の段階にある。

The aim of this paper is to contribute to the resolution of this problem by examining the following two issues. The first issue concerns the general legal framework regulating co-owned stocks: What is/are the fundamental, underlying purpose(s) of Article 106 of the Japanese Companies Act (Issue 1)? The second issue specifically concerns business succession: What should be the most appropriate default rule regulating the exercise of voting rights by co-owners (Issue 2)?

    本報告では、譲渡制限株式の売買価格の決定における「売買価格」（会社法144条2項）をどのように解するべきであるのかについて検討した。その中では、まずは従来の裁判例が交換価値説を採用しているのに対して従来の学説ではプロ・ラタ価値説が主張されているということを確認したうえで、次のように、従来の学説が主張するプロ・ラタ価値説の根拠が説得的ではないということを明らかにするとともに、株式譲渡制限制度の趣旨や手続、支配株主が置かれた状況等を具体的に踏まえると交換価値説を採用するべきであるということを示した。
    まず、プロ・ラタ価値説は、交換価値説を採用した場合には支配株主が少数株主を抑圧して保有株式を売却するように仕向けるインセンティブが生じると主張している。しかしながら、交換価値を採用したことによって支配株主が少数株主を抑圧して保有株式を売却するように仕向けるインセンティブが生じ、または強化されるという想定は現実的ではない。
    そして、譲渡制限株式の売買価格の決定における「売買価格」は、次の理由から、交換価値を意味すると解するべきである。まず、株式譲渡制限制度の下では、譲渡制限株式の株主であっても、まずは通常の取引における株式の譲渡によって投下資本を回収することが予定されている。そして、会社または指定買取人による買取りは、会社がそのような株式の譲渡を承認しなかった場合に当該譲渡に代わる投下資本回収の手段を保障するものであると位置づけられる。そのような投下資本回収の手段を保障するためには、会社または指定買取人による買取りにおいて、通常の取引における株式の譲渡によって回収することができたであろう株式の価値を保障すれば足りる。
    また、譲渡制限株式の譲渡承認に関する関係者のインセンティブに与える影響という観点からも、交換価値説を採用した方が望ましい。すなわち、まず、プロ・ラタ価値説を採用した場合には、少数株主は会社に譲渡制限株式の譲渡承認をさせないようにするインセンティブを有することになるが、それは望ましいものであると評価することができない。また、プロ・ラタ価値説を採用した場合には、交換価値説を採用した場合よりも、会社（支配株主）が譲渡制限株式の譲渡を承認せざるを得なくなる可能性が高くなるのに対して、交換価値説を採用した場合には、プロ・ラタ価値説を採用した場合よりもそのような可能性が低くなる。したがって、株主の投下資本回収の手段を保障したうえで、会社の閉鎖性を維持するという株式譲渡制限制度の趣旨をよりよく達成するためには、プロ・ラタ価値説よりも交換価値説を採用する方が望ましい。
